By signing and returning this purchase order by fax or otherwise, you are agreeing to the terms and conditions set forth herein. All orders are non-cancelable and non-refundable. All shipments to you will be deemed accepted, unless a claim is made for shortage, damaged product, or shipment error (collectively, "non-conformance") within 7 days of the date of receipt. Products that function as designed are not defective. Once accepted, you will have no right to make a claim for any non-conformance. Only timely made claims will be eligable for return. No returns will be accepted unless accompanied by a test report from an independent laboratory indicating what, if any, non-conformance exists. Sunstar shall not be deemed to have accepted return of any product until it has had an opportunity to fully inspect same and acknowledges such acceptance in writing. For a confirmed non-conformance, Sunstar will, at its sole discretion, either accept the return of the non-conforming product and issue a company credit, or replace the non-conforming product. There are no cash refunds.

No original manufacturers' certificate is available with this order. The product is provided on an "as-is" basis. Sunstar disclaims all warranties, express or implied, including any warranty of merchantability, fitness for particular purposes, Year 2000 (Y2K) compliance or other warranty of quality. Sunstar's liability for any claim (whether based on breach of warranty or contract, negligence, strict liability or other legal or equitable theory) shall be limited to an amount equal or lesser of the invoiced value of the product sold and the replacement value of such product. In no event shall Sunstar be liable for any direct, indirect, special, incidental, consequential or other damages resulting from any claim (including without limitation, loss of profits, business losses, damage to property or any liability of yours to third parties). In this respect, some surface mount passive components are reeled from a bulk product and only include information related to reel quality, description of reeled item, item date code and assumed manufacturers of specified component. Sunstar's liability is limited as provided above, and Sunstar assumes no liability for mismarked or misrepresented parts.

You hereby grant a security interest in the product, including all accessions to and replacements of the product and proceeds thereof, to secure the timely payment of all amounts due. You shall execute and deliver to Sunstar any and all necessary documents to maintain, continue and perfect the security interest created.

The parties agree that the exclusive jurisdiction for all legal proceedings related to this order and subsequent transactions as referenced in the last paragraph below, will be any state court in Pinellas County, Florida, or any Federal Court in the Middle District of Florida, Tampa Division. The parties further agree such orders shall be interpreted and governed by the laws of the State of Florida. In any legal proceeding concerning this contract, the losing party shall reimburse the prevailing party, on demand, for all costs and expenses (including without limitation attorneys' fees and costs) incurred by the prevailing party in connection with that legal proceeding.

A finance charge will be added to your past due accouts at a rate of 1.75% per month or the greatest amount permitted by applicable law if less than such a rate.

Customer assumes all risk of loss and in addition all freight, duty, and V.A.T. charges are to be paid by Customer, and you shall have no recourse against Sunstar for same.
